Just to let everyone know, I used bcastner's advice and followed the fix in this MS KB posting; 
Updates are not installed successfully from Windows Update, from Microsoft Update, or by using Automatic Updates after you repair a Windows XP installation »support.microsoft.com/kb/943144

| reply to Respect Root I recently installed XP SP2 on 3 different PCs.
After installation of the OS and drivers, I proceeded to Windows Update. I let WU update itself, but NOT install SP3 when given the choice. At some point during this process I was prompted to install the 3.1 installer which I allowed. After which, I installed SP3 from the standalone download. IE7 was installed after SP3 from a standalone download too. From that point forward no problems with Windows Update or installing new/old software and hardware. This fixed my problem (note that you have a filename wrong in your instructions - the filename is wups2.dll not wup2.dll)
It should read:
regsvr32 "%windir%\system32\wupS2.dll" |

| You are correct, and my bad typo.
Fortunately, it is clarified by the linked KB article, and quite honestly unlikely to be the predominant factor, although I most certainly wish I had gotten it right.

Istalled Windows Pro via a SP2 disk, I was prompted for Sp3 first then nothing else would install just download
followed the instructions and resolved the issues
