The problem is debt- Verizon is already taking on a huge amount of debt with the Alltel acquisition, if they took on Qwest's debtload (which I believe is about $26 billion- by comparison, Q has a market cap of $6 billion) they'd probably be so deep in the hole that they'd have to postpone future FiOS deployment and other capital upgrades to pay it off, so no one benefits.
