If you look at the entire deal of the transaction, there is a reason why TWC is getting more. Not to mention, there is that alleged 33% subscriber caps in this country. Comcast is gaining major strength out of this for it's own internal operation by being able to cluster it's markets together. For example, where the Twin Cities has Time Warner and Comcast, They will swap this system with TWC so they can have the entire metro area. It helps reduce some of the operational costs.
