With this in mind and with those titles and job responsibilities. Do we have any takers to do them?
If so, please state why you would be good at doing that particular job. The reason I say this is if we have more then one member wanting this position we can always have a poll and choose as a team which person we feel is best suited to fill these important rolls.
By the way, I mentioned earlier I would do some research on what those positions that Mark mentioned earlier. This is from an old post from Seti and what they came up with. Maybe we can use some of this same stuff for Project Hope Please share your thoughts on this. And with that, Ill past the article from that post.

Articles of association. 1. The Members of Team Starfire of BroadbandReports.com, desiring to form an association for the purpose of conducting within the United States and territories the operation of computer systems The hardware, software and equipment purchased for or donated to the common processing of Distributed Computing for teams related to the forums of the BroadbandReports.com Website (hereafter known as BBR). 2. The name of the Association shall be The Crunchenstein Project 3. The location of the Association shall be in New York City, state of New York as this is the home of BBR. 4. The Association shall be nonstock and no dividends or pecuniary profits shall be declared to any members of the Association 5. Each Founding Member, by virtue of any Monetary or Equipment donation and by being a member of Broadbandreports.com Team Starfire, is an equal member of the association and is granted the right to vote in all matters brought to the general membership. 6. Each member has one vote and a simple majority is all that is needed to validate all votes, except for votes that are specifically listed here where a 2/3 majority is required to approve. 7. The Members will elect a board of directors consisting of 6 members, all of which will serve a term of 1 year without compensation. 8. The board of Directors shall consist of the following positions: a. President b. Vice-President c. Secretary d. Treasurer e. Operations f. Communications 9. The principal duties of the Board will be to represent the Desires and wishes of the Members and the continued operations of the Crunchenstein. And any other Duties as determined later by the Members. The Board may at its discretion appoint or form committees as needed to further the interests in and of the association. 10. The association shall hold its first meeting for the election of officers, on or within 30 days of the activation of the Crunchenstein. And within 30 days after that vote is official the Board will submit the proposed By-Laws to the members for approval. 11. All meetings, votes and communications will be done Via the internet. This will include IRC chat and or Private Chat systems to include Video, Email and any other agreed to form of communications. 12. Each Members name and Email address and BBR Screen name will be recorded and maintained by the Secretary. This member listing, excluding email address, will be Published on the Crunchenstein website 13. No member will have or be considered an owner, in any form, of the individual Crunchenstein or any parts thereof. All monies and equipment donated is done so without recourse or further consideration. 14. Members must maintain their membership with team starfire to be a member of this association. Any member that leaves or is removed from team starfire shall lose, without recourse, any and all membership to this association. 15. The members by a 2/3-majority vote may approve, the change/switch for a specified amount of time what the power of the Crunchenstein will be used for. But in no event will the power of the Crunchenstein be used for any team outside of BBR Teams. 16. In the event that Seti @ Home ends or in other ways changes or is no longer able to be supported, the members will by a 2/3 vote determine, that the computing power will be used for as long as it stays within and supports a BBR team or to disband. 17. In the event that the members vote by 2/3 majorities to disband or to dissolve this association the other teams of BBR ( Helix, Disco, Ten, RC5
will have first right to purchase the individual Crunchenstein at a fair market price, with the monies gained being donated to a charity as voted upon. | reply to Slava Articles are definitely good idea (maybe Bylaws too). I doubt that the document will need to actually be filed with the SOS since the project will not take in much income, and I doubt too many people who donate monies will donate a large enough sum or want to deduct it on their taxes. The document, in my opinion, would still a be a good way to COT(cover or tails).
Now with that being said, if the team decides we should file and create a NPO or LLC, I would suggest obtaining legal counsel. I can draft legal documents and guide people in the right direction legally, but I can not, by any stretch of the imagination, give legal advice. Do we have an attorney on the team that would be willing to donate some time to review the document. | |
