Report: Time Warner Could get Cold Feet if AT&T Merger Drags On

It's rare that you'll be able to find a subject on which cable TV companies, the DOJ, and consumers all agree. But that's precisely the case with AT&T's proposed $86 billion acquisition of Time Warner, which they all have been saying will not only harm competition in the space, but drive up costs for consumers. Critics argue that AT&T has long ago proven it has a nasty anti-competitive streak, and that giving AT&T even more power and leverage will only result in that power being weilded to harm competitors. Especially, they highlight with the government's attempts to kill net neutrality protections for consumers.

With AT&T's merger approval in question as the DOJ court case drags on, even some Time Warner executives are starting to wonder if they should give up on the deal and pursue other alternatives.

"Several well-placed Time Warner insiders told me there’s a growing sense that if deliberations were to exceed a twice-extended June 21 deadline, at which point Time Warner could walk away without penalty, the company should perhaps renegotiate its acquisition terms--or go a different route altogether," anonymous insiders at Time Warner told Vanity Fair this week.

A lot of that is driven by the fact that Time Warner's value has grown substantially since the merger was first announced back in 2016. "Certain executives," one source told the outlet, "are now beginning to question if it’s a good idea to just hold out past June 21 to get a better price--from AT&T or someone else."

The Judge overseeing the case warned both the DOJ and AT&T to speed things up. And if the June 21 deadline for an agreement comes and goes without a deal, it's entirely possible that Time Warner may eat its losses and begin hunting for another suitor. If AT&T loses its court case before that date, it will also have to convince Time Warner execs to stick it out and wait for appeal, something they may not be keen on.

I can bet that comcast will rape the consumers if this deal doesn't go through. They will own more content than any provider no? Also comcast has been trying to buy fox. I sound like a devils advocate but I don't think it will be fair DOJ blocks this deal and then next thing you know comcast is picking up someone else is approved. I honestly think this merger is fine, what they should have blocked was directv merger since it was eliminating a direct competitor.

I don't know about anyone else but I have been getting free hbo for being att wireless customer. Doesn't sound like a bad deal to me.

what? At the end of the day do you care how it happens if a consumer is getting a good deal? Free HBO is better than paying for HBO and tv for 10 bucks that gets all my shows is best bank for buck. Sorry dtv now for 10 bucks and top that with free hbo is unbeatable. No matter how much you hate the death star. I am not speaking for anyone, I am speaking from my wallet.

Wait didn't comcast vertically merge with NBC universal? This isn't any different. Same principal behind both.

and the precautionary warning is the FREE offer today, might come with expectations you don't like tomorrow. None of these companies GIVE anything over the long term.

As long as time warner deal goes through HBO is free. Yes they may pull it if the deal goes south. But thats the perk of them having time warner, they can leverage it to win more wireless customers from other providers. Unlimited wireles + hbo + all my channels for $10 bucks on dtv now. I mean its just a great deal! Saved me for the last year and even if they pull it I will have choices. But I don't see them just pulling HBO deal as long as they have time warner.

LOL to you it may not be. Everything works like a charm here and soon it will have dvr service. I will pay extra 5 bucks a month if I have to and 2 streams. By all means pay more, to me it gets me what I watch for cheap. Like I said I don't speak from my hate for AT&T I speak from my wallet while most people seem to be speaking from their bias.

The DOJ is only blocking this because of Trump. He hates CNN and wants them closed. Otherwise he’s in full support over Sinclair which is worse than TWE/ATT

Trump Administration is a joke. Period.

The government is a joke at this point. They support the Sinclair-Tribune deal with the FCC going as far as to reinstate the UHF discount that is no longer needed. Trump has already praised the Disney-Fox deal despite that deal would cause everything they are claiming would happen with the AT&T-TW deal.

Out of all three the AT&T-TW deal would be the least likely to harm competition and customers. AT&T loves money and even they are not that stupid to jeopardize taking other distributor's money just to increase DirecTV/Now/U-Verse TV's market share.

The DOJ & FCC should be blocking the two horizontal mergers (Sinclair-Tribune & Disney-Fox) as these would hurt competition & customers the most. These deals are essentially reducing the competition.

I hate mega mergers but they should leave AT&T-TW alone since it is a vertial merger and slap the Comcast-NBCU provisions to the merger. Blocking the AT&T-TW merger and letting the other two go through is so bad for customers is obvious.

I agree but alot of people speak from their bias against at&t. But sometimes regardless of what you think of the company we have to evaluate each situation independently. I think time warner deal is just them getting a lot of original content, and they are right in a sense that everyone is making original content and they wanna own a piece of it. On top they sort of are giving out a good deal with free HBO to all their unlimited subscribers.
