Surprising, well, nobody, the Associated Press reports that the Federal Trade Commission has approved Verizon's $5.9 billion acquisition of Alltel, a deal that will create the largest wireless voice and data carrier in the country (80 million users). The approval was the last major hurdle for the deal, which has already seen approval from the FCC and the Justice Department. Verizon now hopes to close the deal as quickly as possible -- probably in the early part of next year. Consumer advocates have opposed the deal, saying it offers absolutely no benefits to consumers, and acts to reduce competition in the industry.

Ditto. I can't believe they are still playing them right now. I guess in a sense it really doesn't matter, because if Alltel wins over customers from any other carrier, they will go right to Verizon after they merge.

The "can you hear me now" guy (and the new VZ campaigns) are pretty damn annoying as well. Its like choosing between being eaten by a bear or a mountain lion, neither option is particularly palatable!

This was approved DAYS AGO! The AP did have a story on it. And it was posted on several sites! BBR even had a small link to an article that said the FTC approved it!

Well that's not necessarily true...the alltel phones kind of suck more than the verizon phones. So at least we'll be getting better phones!

On the contrary! Verizon phones have historically been crippled more than Alltel phones, and I've never liked Verizon's firmware nearly as much as on my Alltel phones.

If I dislike Verizon's phones too much, down the road I'll be taking a good hard look at US Cellular.

I guess that's what I get for living out of a verizon area for so long. I haven't used a verizon phone in years and I remembered liking the choices there more than alltel's. I'll try to peer out from under my rock every so often now that I'm losing alltel.

Verizon Wireless in $17bn loan

The moribund market for corporate finance received a boost on Wednesday when Verizon Wireless, a joint venture between Verizon Communications and Vodafone Group, closed a $17bn syndicated loan, the largest in the US this year.

The deal, arranged by Morgan Stanley, Bank of America and Citigroup, will enable Verizon Wireless to refinance the debt it took on in June when it bought Alltel, a regional telecoms group, for $28.1bn from TPG and Goldman Sachs.

The one-year loan, which was syndicated to a dozen US and foreign financial institutions, is a rare sign of life in a market that has been paralysed by banks’ unwillingness to extend financing at a time of extreme financial turmoil.

Wall Street banks have been criticised by politicians for failing to resume lending to companies and consumers despite receiving billions of taxpayers’ dollars in recent months.

But bankers said the decision by Morgan Stanley, BofA and Citi to arrange the loan underlined the fact that many financial groups remained open to lending to their best customers and at the right price. People close to the situation said the loan would pay an interest rate of around 3 per cent above the London interbank offered rate.

They added that final pricing had not been determined and could still change but said an interest rate in that range for an investment grade company such as Verizon would provide an attractive return for the banks participating in the loan.

The completion of the syndicated loan will dispel some fears that the tough markets would force Verizon Wireless to renege on the Alltel deal and pay a $500m break-up fee. The deal was cleared by the US Federal Communications Commission last month while the Federal Trade Commission, the antitrust regulator approved it yesterday.

People close to the situation said Morgan Stanley, Citi and Bank of America had agreed to commit more than $2.25bn each. Bank of Tokyo-Mitsubishi, part of the Japanese financial giant that recently bought a 21 per cent stake in Morgan Stanley, had also agreed to commit a similar amount, they added.

The banks’ final exposures are expected to be lower than their original commitments as the loan was parcelled out to other institutions.

The US has poor nationwide cellular penetration to begin with. The last data you can find from the government about how many of the 428 Rural Service Areas actually have any kind of cellular service is a decade old and it's not impressive, far less than 50% of the Rural Service Areas had any kind of cellular coverage, although licenses had been issued. To be exact there was cellular service in only 150 of the 428 rural markets. Verizon's divestiture list when they went forward to regulators with this deal included vast swaths of those Rural Service Areas that actually had service. In this economic climate, any companies, especially small, rural carriers, will probably be unable to get financing if they're even interested in trying to expand their business (most, including some of the big carriers are just trying to stay afloat, let alone expand). Now the question to regulators is whether they'll allow Verizon to shut off service to even more Rural Service Areas in the divested markets when no buyers come forward or cannot get financing. Given the mind set of our regulators, I suspect they will. At that point I wonder if even 1/3rd of the Rural Service Areas will have any cellular coverage. As far as I'm concerned, I think if companies are simply acquiring licenses in rural areas to provide roaming and they refuse to provide local service in those Rural Service Markets, their license should be revoked.

They can simply put all their phones on the market and allow people to buy them. The same with other carriers. As long as its CDMA VZW should BE MADE to put it on their network as part of this merger.

Wireless providers should not be allowed to sell phones here just provide service and allow only the makers to put them on the market to sell.

The price that VZ wants for one of their Samsung phones (the blue one that Alltel had before the merger was announced) is only $100 if you buy it full price from VZW. Go to Target and buy it as a prepaid phone and spend $40 on it.

Tell me why there is a price difference especially when that phone can be used on the actual post paid accounts. TM and ATT do this as well. Even Alltel is doing it. That contract does NOT mean they'll make more off that phone over the period of it. It just means they want to be greedy and make more $$$$$$ period.

exactly its just greed and that's why I will never go back to verizon, att, tmobile or sprint. Metro PCS does me just fine with a prepaid verizon phone for when I travel

I have T-M. I buy all my phones at T-M as a prepaid phone or at Target or hell even Wal-Mart and at times Craigslist. put my SIM in the phone and go. I also have a FlexPay account so no contract which is the way I like it but still have a monthly plan that comes out cheaper than with a contract in Ohio.

GoPhone does but its waaaay more. They don't use the same plans but offer month to month but still charge by the minute but require you to use auto-billing. T-M doesn't require that. FlexPay you have the option of month to month or a one year contract. But if you sign up at an actual T-M Corp. Store you always have the option to sign up for 1 year. They're the only one that still allows that.

will free cell to cell transfer?

i hope the existing Alltel and Verizon customers will soon be able to make cell to cell calls airtime free, all of my family in GA is on Alltel because they have the best service in that rural area they are in, everywhere else in the country Verizon works best from my many travels, combining the two would be a real good thing
